दूसरी ओर फौजी कानून एक कानूनी प्रत्यय का विचार है, जिसके द्वारा नागरिक न्यायालयों ने उन असाधारण अधिकारों के नियंत्रण का प्रयत्न किया है जो कार्यपालिका द्वारा राज्य के नागरिकों पर लागू करने के लिए अधिगृहीत किए जाते हैं।

इस तथ्य ने संकटकालीन अधिकारों के संबंध में कुछ और संरक्षण लगाने की आवश्यकता प्रगट कर दी है, क्योंकि ऐसा न होने पर कोई भी अविवेकी कार्याधिकारी अपनी सुविधा के लिए संविधान का उन्मूलन करके फौजी कानून को स्थायी कर दे सकता है।

इस प्रकार फौजी कानून, सैनिक कानून (मिलिटरी ला) से, जो सशस्त्र सैन्यदल के नियंत्रण का विशेष कानून होता है, भिन्न है।

भारत में भी स्पष्ट सांवैधानिक निर्देश के अभाव में यह विवादास्पद है कि फौजी कानून की घोषणा का अधिकारी कौन है।

किंतु फौजी कानून में नागरिक अधिकारियों और न्यायालयों के अधिकार स्थगित कर दिए जाते हैं और अपराधियों पर सैनिक आयोग के समक्ष मुकदमा चलाया जाता है।

पेशावर में जब 1919 ई. में फौजी कानून (मार्शल ला) लागू किया गया उस समय उन्होंने शांति का प्रस्ताव उपस्थित किया, फिर भी वे गिरफ्तार किए गए।

किंतु फौजी कानून से मिलता जुलता ही धारा 359 (1) के अंतर्गत राष्ट्रपति का वह अधिकार होता है जिससे वह धारा 21 और 22 के अंतर्गत अधिकारों का न्यायिक निष्पादन स्थगित कर दे सकता है।

फौजी कानून संबंधी उल्लेख केवल 34वीं धारा में है, जो किसी विशेष क्षेत्र में फौजी कानून उठा लिए जाने के बाद क्षतिपूर्ति अधिनियम (ऐक्ट आब इंडेम्निटी) की व्यवस्था करती है।

अमरीकी विधि में राष्ट्रपति को, कांग्रेसीय कार्रवाई से स्वतंत्र, फौजी कानून घोषित करने का कहाँ तक अधिकार है और उस स्थिति में विधायिका तथा न्यायालयों द्वारा कहाँ तक नियंत्रण किया जा सकता है, यह अब भी विवाद का विषय है तथा इस मामले में कानूनी स्थिति अब भी स्पष्ट नहीं है।
